Terms & Conditions

  1. Acceptance of Terms By engaging East West Technologies Pty Limited for services or using our website, you agree to comply with and be bound by these Terms and Conditions.
  2. Provision of Services We agree to provide IT services as outlined in a specific Statement of Work (SOW) or Service Agreement. These services may include:
    • Digital Workspace
    • Cloud Native Stack
    • Intelligent Security
    • Expert Guidance
    • Connected Enterprise
  3. Professional Fees and Payment
    • Invoicing: Fees will be set out in the relevant SOW.
    • Payment Terms: Unless otherwise agreed in writing, invoices are payable within 30 days of the date of issue.
    • Taxes: All fees are subject to GST unless otherwise stated.
  4. Intellectual Property (IP)
    • Our IP: We retain all rights to our pre-existing IP, including proprietary methodologies, software code templates, and tools used to deliver the services.
    • Client IP: You retain all rights to your data and existing proprietary systems.
    • Project Deliverables: Upon full payment, we grant you a perpetual, non-exclusive, non-transferable license to use the deliverables for your internal business operations.
  5. Confidentiality Both parties agree to keep all non-public information received from the other party strictly confidential. This obligation survives the termination of any service agreement.
  6. Limitation of Liability To the maximum extent permitted by the Australian Consumer Law:
    • Our total liability for any claim arising out of these terms is limited to the total amount paid by you for the services in the 12 months preceding the claim.
    • We are not liable for any consequential, indirect, or special losses, including loss of profit or data.
  7. Termination Either party may terminate a service engagement by providing 30 days’ written notice. In the event of termination, you agree to pay for all work performed and expenses incurred up to the date of termination.
  8. Governing Law & Jurisdiction This Agreement is governed by the laws of Western Australia. Each party irrevocably and unconditionally submits to the non-exclusive jurisdiction of the courts of Western Australia and any courts entitled to hear appeals from those courts.
